These Terms of Service (“Terms”) govern access to and use of Yachtvara, a software platform provided by Scout Platforms LLC (“Scout Platforms,” “Yachtvara,” “we,” “us,” or “our”). By accessing or using Yachtvara, creating an account, joining a beta program, submitting a beta request, inviting users, generating proposals, or otherwise using the platform, you agree to these Terms.
If you are using Yachtvara on behalf of a company, brokerage, agency, or other organization, you represent that you have authority to bind that organization to these Terms. In that case, “Customer,” “you,” and “your” refer to that organization and its authorized users. If you use Yachtvara as an individual, those terms refer to you personally.
1. Overview of Yachtvara
Yachtvara is an inventory intelligence, charter-planning, and proposal-generation platform for yacht charter brokers, brokerage firms, and individuals. Yachtvara helps users search indexed yacht inventory, manage shortlists and trip information, request availability confirmation, and create or share web-hosted proposals.
Yachtvara is not a yacht charter marketplace or booking engine. Yachtvara is not a yacht broker, central agent, yacht owner, charter operator, travel agency, payment processor, escrow service, insurer, or party to any yacht charter agreement.
2. Beta Software
Yachtvara is currently offered in beta. Beta features may be incomplete, experimental, unavailable, inaccurate, delayed, modified, or discontinued at any time.
You acknowledge that beta software may contain bugs, errors, downtime, data issues, incomplete functionality, or inaccurate results. Yachtvara is provided during beta on an “as is” and “as available” basis. We may add, remove, suspend, throttle, change, or discontinue beta access or functionality at any time.
You should not rely on beta functionality as your sole system of record, sole source of truth, or sole method for confirming yacht availability, pricing, specifications, legal terms, client obligations, or charter transactions.
3. Eligibility and Permitted Users
Yachtvara is available to yacht charter brokers, brokerage firms, luxury travel professionals, related commercial users, and individuals who are at least 18 years old and use the platform to research or plan charter travel.
An individual account is a research and planning tool. It does not create a broker-client, agency, fiduciary, or travel-adviser relationship with Scout Platforms, and it does not confirm or book a charter.
4. Accounts and Authorized Users
You are responsible for all activity under your account and, if applicable, organization workspace. You must ensure that all authorized users comply with these Terms.
You agree to provide accurate account and organization information and to keep it current. You are responsible for maintaining the confidentiality of login credentials and for promptly notifying us of any unauthorized access or suspected compromise.
We may suspend or terminate accounts if we reasonably believe that an account has been compromised, is being used unlawfully, violates these Terms, creates security risk, or could harm Yachtvara, other customers, third parties, or the platform.
5. Customer Responsibilities
You are responsible for:
- confirming yacht availability, rates, specifications, imagery rights, amenities, charter terms, taxes, fees, APA, VAT, delivery fees, contract terms, insurance requirements, and all other charter-related details directly with the yacht’s central agent, owner, operator, manager, or authorized listing source before making any representation or offer to a client;
- reviewing all Yachtvara-generated summaries, drafts, slides, proposals, and recommendations before using or sharing them;
- ensuring that all information about clients, companions, or other people entered into Yachtvara is collected, used, and disclosed lawfully;
- obtaining any required consent or authorization before entering another person’s personal or sensitive information into Yachtvara;
- ensuring that proposal links are shared only with appropriate recipients;
- complying with all applicable laws, industry standards, privacy requirements, contractual obligations, and professional duties;
- maintaining your own records, confirmations, agreements, invoices, contracts, and communications outside Yachtvara as needed;
- if you are an organization, ensuring that your users are properly trained and authorized to use Yachtvara.
6. Public Inventory Data and No Guarantee of Accuracy
Yachtvara indexes and aggregates publicly available yacht inventory data from various sources across the internet. This may include yacht names, specifications, amenities, builder information, charter regions, indicative pricing, images, availability signals, and other listing-related information.
Yachtvara does not guarantee that any indexed inventory data is accurate, complete, current, lawful to use in every context, error-free, or suitable for a specific transaction.
Yacht pricing, specifications, imagery, locations, availability, charter terms, and ownership or management information may change at any time. Indexed data may be stale, incomplete, duplicated, inconsistent, misattributed, incorrectly extracted, or no longer available from the original source.
You acknowledge and agree that:
- Yachtvara is not the source of truth for availability, rates, specifications, imagery rights, or charter terms.
- Yachtvara does not guarantee live availability.
- Yachtvara does not guarantee that a yacht shown in the platform is available for any particular date, itinerary, destination, budget, or client.
- Yachtvara does not guarantee that pricing shown in the platform reflects final charter cost.
- Yachtvara does not guarantee that imagery, descriptions, or specifications may be used in a client proposal without additional permission.
- It is solely your responsibility to verify all details before presenting, recommending, quoting, offering, booking, contracting, or otherwise relying on such information.
7. No Brokerage, Agency, Fiduciary, or Transaction Role
Scout Platforms is a software provider only. We do not act as:
- a yacht broker;
- a central agent;
- a yacht owner;
- a yacht manager;
- a charter operator;
- a travel agency;
- an escrow agent;
- a payment processor;
- an insurer;
- a fiduciary;
- a party to any charter contract;
- a representative of any broker, owner, operator, client, central agent, or listing source.
We do not negotiate, confirm, book, manage, operate, insure, or fulfill yacht charters. Any transaction, agreement, representation, invoice, charter contract, cancellation, refund, dispute, safety issue, guest complaint, or other matter relating to a charter is solely between you, your client, the yacht owner, operator, manager, central agent, or other relevant parties.
8. Proposals and Client-Facing Links
Yachtvara allows users to create web-hosted proposals and share them with selected recipients using proposal links.
You are solely responsible for reviewing each proposal before sharing it. You are responsible for ensuring that proposal content is accurate, lawful, appropriate, authorized, non-misleading, and consistent with confirmed information from relevant central agents, owners, operators, or listing sources.
Yachtvara proposal links may include yacht information, itinerary information, pricing references, imagery, client names, trip details, broker contact information, and other information selected by you.
You acknowledge that proposal analytics may track whether a link is opened, viewed, approved, or otherwise interacted with. You are responsible for providing any required notice to recipients regarding proposal tracking and engagement analytics. An approval or other interaction in Yachtvara is not a charter booking, binding charter contract, or payment authorization.
9. Client Data and Sensitive Preferences
Yachtvara may allow you to store information about clients, companions, or other travelers, including names, contact details, travel preferences, dietary restrictions, accessibility needs, itinerary preferences, and other trip-specific information.
You are responsible for ensuring that you have a lawful basis and any required consent to collect, upload, store, process, and use another person’s information in Yachtvara.
You should not enter highly sensitive information unless it is necessary for your legitimate brokerage workflow and you have appropriate authorization. Dietary restrictions, accessibility needs, religious meal preferences, health-related notes, passport information, travel documents, payment details, or similar information may be regulated or sensitive under applicable laws.
Unless Scout Platforms expressly agrees in writing, you may not use Yachtvara to store:
- full payment card numbers;
- government identification documents;
- passport scans;
- bank account numbers;
- health records;
- children’s data;
- criminal background information;
- information subject to special legal regimes beyond ordinary business data processing.
10. Customer Content
“Customer Content” means information, data, notes, files, text, images, proposal content, client records, preferences, feedback, and other materials that you or your users submit, upload, create, store, or transmit through Yachtvara.
You retain ownership of your Customer Content. You grant Scout Platforms a limited, worldwide, non-exclusive, royalty-free license to host, process, copy, display, transmit, and use Customer Content solely as necessary to provide, secure, maintain, support, improve, and operate Yachtvara and as otherwise described in our Privacy Policy or a separate written agreement.
You represent and warrant that:
- you have all rights, permissions, and legal bases necessary to submit Customer Content to Yachtvara;
- Customer Content does not violate applicable law, privacy rights, intellectual property rights, publicity rights, contractual obligations, confidentiality obligations, or third-party rights;
- Customer Content is not unlawful, defamatory, harassing, abusive, fraudulent, misleading, obscene, malicious, or harmful;
- you will not upload or use Customer Content in a way that creates liability for Scout Platforms.
10A. Connected Email Accounts
You may optionally authorize Yachtvara to connect to a supported Google or Microsoft email account. The feature uses limited mailbox and communication metadata to identify potential contacts and suggest structured client records for your review. Yachtvara does not import email message bodies or attachments for this feature.
You represent that you are authorized to connect the account and permit this processing. You are responsible for reviewing suggestions before import, complying with applicable privacy and communications laws, and disconnecting the account when access is no longer appropriate. You may revoke provider access at any time.
10B. Artificial Intelligence Features
Yachtvara may use artificial intelligence to create listing summaries, outreach and proposal drafts, slideshow plans, classifications, and structured contact suggestions. These outputs are generated from available listing, trip, profile, workspace, instruction, and limited connected-email context.
AI outputs may be inaccurate, incomplete, unsuitable, or misleading. They are suggestions only and do not constitute professional, legal, financial, travel, safety, or booking advice. You must review and, where appropriate, verify every output before relying on or sharing it.
11. Yachtvara Intellectual Property
Yachtvara, including the platform, software, designs, workflows, user interface, algorithms, data models, search systems, aggregation systems, deduplication systems, proposal-generation tools, analytics systems, documentation, trademarks, logos, and related technology, is owned by Scout Platforms or its licensors.
Except for the limited right to use Yachtvara under these Terms, no rights are transferred to you. You may not copy, modify, reverse engineer, decompile, resell, sublicense, distribute, scrape, benchmark for competitive purposes, or create derivative works based on Yachtvara except as expressly permitted by law or authorized in writing.
12. Indexed Public Data and Third-Party Content
Yachtvara may display, reference, summarize, index, or link to third-party data, images, descriptions, names, websites, listing information, or other third-party content.
Third-party content remains subject to the rights of its respective owners and sources. Yachtvara’s indexing or display of third-party content does not imply endorsement, sponsorship, affiliation, authorization, agency, or partnership unless expressly stated.
We may remove, disable, modify, or restrict access to content at our discretion.
13. Acceptable Use
You may not:
- use Yachtvara for unlawful, fraudulent, abusive, misleading, or harmful purposes;
- use Yachtvara to misrepresent yacht availability, pricing, ownership, agency authority, or booking status;
- use Yachtvara to spam, harass, deceive, or unlawfully market to clients or third parties;
- upload malicious code, viruses, malware, or harmful files;
- attempt to gain unauthorized access to other accounts, organizations, data, systems, or networks;
- bypass, disable, or interfere with authentication, access controls, rate limits, security, or monitoring;
- use Yachtvara to build a competing product or database;
- mass export, scrape, copy, or harvest Yachtvara’s indexed inventory or platform data except through authorized functionality;
- use automated tools against Yachtvara without written permission;
- remove proprietary notices;
- interfere with the platform’s operation;
- violate third-party website terms, intellectual property rights, privacy rights, or contractual obligations using Yachtvara.
14. Beta Feedback
If you provide feedback, suggestions, ideas, requests, comments, or recommendations about Yachtvara, you grant Scout Platforms a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation, provided that we do not publicly identify you as the source without permission.
15. Fees, Subscriptions, and Payment
During beta, Yachtvara may be provided for free, at discounted beta pricing, or under a separate written agreement. Pricing shown on the website or in a calculator is for planning purposes unless confirmed in an order form, subscription checkout, invoice, or written agreement.
Paid subscriptions are billed in advance through our payment processor at the price and interval shown at checkout. Subscriptions renew automatically until canceled. You authorize us and our payment processor to charge the payment method on file for subscription fees, applicable taxes, and other disclosed charges.
You may manage or cancel a subscription through the billing portal. Cancellation takes effect at the end of the current paid billing period unless otherwise stated. Unless otherwise stated, fees are non-refundable except as required by law or expressly agreed in writing. We may change pricing, packaging, limits, features, or plan availability with notice as required by applicable law or contract.
16. Suspension and Termination
We may suspend or terminate access to Yachtvara if:
- you violate these Terms;
- your use creates legal, security, privacy, operational, or reputational risk;
- payment is overdue when paid plans apply;
- your account appears compromised;
- we are required to do so by law;
- beta access is discontinued.
You may stop using Yachtvara at any time. Termination does not relieve you of payment obligations incurred before termination.
Following termination, we may retain or delete Customer Content according to our Privacy Policy, data retention practices, legal obligations, and any applicable written agreement.
17. Confidentiality
During use of Yachtvara, either party may receive non-public business, technical, product, financial, customer, pricing, security, roadmap, or operational information from the other party.
The receiving party will use confidential information only for purposes of the relationship and will protect it using reasonable care. Confidential information does not include information that is publicly available, already known without confidentiality obligation, independently developed, or rightfully obtained from a third party.
18. Security
We use commercially reasonable administrative, technical, and organizational safeguards designed to protect the platform and Customer Content. However, no system is perfectly secure. You are responsible for configuring access appropriately, managing authorized users, safeguarding credentials, and promptly notifying us of suspected unauthorized access.
19. Privacy
Our Privacy Policy explains how we collect, use, disclose, and protect personal information. By using Yachtvara, you agree to our Privacy Policy.
Where Scout Platforms processes client personal information on behalf of a brokerage, Scout Platforms generally acts as a service provider or processor, and the brokerage acts as the business or controller. For information provided by an individual account holder for personal planning, Scout Platforms generally acts as an independent controller or business. Additional data processing terms may be required for certain customers, jurisdictions, or enterprise arrangements.
20. Service Availability and Support
During beta, Yachtvara may be unavailable, interrupted, delayed, or modified without notice. We do not guarantee uptime, uninterrupted access, data availability, or support response times unless expressly agreed in a separate written agreement.
We may perform maintenance, updates, security fixes, feature changes, or infrastructure changes at any time.
21. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YACHTVARA AND ALL RELATED SERVICES, DATA, CONTENT, FEATURES, REPORTS, PROPOSALS, ANALYTICS, INDEXED INVENTORY, AND BETA FUNCTIONALITY ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”
SCOUT PLATFORMS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY, SECURITY, AND COURSE OF DEALING.
WE DO NOT WARRANT THAT:
- indexed yacht data is accurate, complete, current, authorized, or reliable;
- any yacht is available;
- pricing is accurate;
- imagery may be used in any proposal or marketing material;
- proposals or AI-generated outputs will be error-free, complete, or suitable for your intended use;
- client analytics will be complete or uninterrupted;
- Yachtvara will meet your business needs;
- Yachtvara will be secure, uninterrupted, or error-free;
- defects will be corrected.
22. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCOUT PLATFORMS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST OPPORTUNITIES, LOST GOODWILL, LOST DATA, BUSINESS INTERRUPTION, CLIENT DISPUTES, FAILED CHARTERS, RUINED VACATIONS, REPUTATIONAL HARM, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SCOUT PLATFORMS WILL NOT BE LIABLE FOR:
- inaccurate yacht pricing, availability, specifications, imagery, or listing data;
- failed, delayed, cancelled, or disputed yacht charters;
- disputes between brokers, clients, central agents, owners, operators, managers, or listing sources;
- copyright, trademark, publicity, privacy, or licensing disputes related to third-party yacht content or user-provided content;
- proposal or AI-generated errors not reviewed and corrected by you;
- unauthorized access caused by your users, credentials, devices, or configurations;
- use of beta software;
- downtime, bugs, or data extraction errors.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCOUT PLATFORMS’ TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YACHTVARA WILL NOT EXCEED THE GREATER OF: (A) AMOUNTS PAID BY YOU TO SCOUT PLATFORMS FOR YACHTVARA IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR (B) USD $100.
Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, our liability will be limited to the maximum extent permitted by law.
23. Indemnification
You will defend, indemnify, and hold harmless Scout Platforms and its owners, officers, directors, employees, contractors, affiliates, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- your use of Yachtvara;
- your Customer Content;
- your proposals, representations, quotes, recommendations, or communications to clients;
- any yacht charter transaction or dispute involving you, your clients, central agents, owners, operators, or managers;
- your failure to confirm yacht availability, pricing, specifications, imagery rights, or charter terms;
- your violation of these Terms;
- your violation of law;
- your violation of privacy, intellectual property, publicity, confidentiality, or contractual rights;
- your collection, use, or submission of client data.
24. Third-Party Services
Yachtvara may rely on third-party infrastructure, hosting, authentication, analytics, email, storage, database, image, and other service providers. We are not responsible for third-party services, outages, errors, changes, or terms except as required by law or expressly agreed in writing.
Your use of third-party services may be subject to additional terms and privacy policies.
25. Export, Sanctions, and Legal Compliance
You may not use Yachtvara in violation of export control, sanctions, anti-corruption, anti-money laundering, privacy, consumer protection, travel, maritime, or other applicable laws.
You represent that you and your organization are not located in, organized under, or ordinarily resident in a country or territory subject to comprehensive sanctions, and are not listed on any restricted-party list.
26. Changes to Yachtvara or These Terms
We may modify Yachtvara or these Terms from time to time. If changes are material, we will provide notice by posting updated Terms, sending email, displaying notice in the platform, or using another reasonable method.
The updated Terms will be effective as of the stated effective date. Continued use of Yachtvara after changes become effective constitutes acceptance of the updated Terms.
27. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms or Yachtvara will be brought exclusively in the state or federal courts located in Delaware, unless the parties agree to arbitration or another dispute resolution process in a separate written agreement.
28. Injunctive Relief
You acknowledge that unauthorized use of Yachtvara, misuse of confidential information, infringement of intellectual property, or unauthorized access to data may cause irreparable harm. Scout Platforms may seek injunctive or equitable relief without posting bond, in addition to any other remedies available.
29. Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, restructuring, sale of assets, or by operation of law.
30. Miscellaneous
These Terms, together with the Privacy Policy and any applicable order form or written agreement, constitute the entire agreement between you and Scout Platforms regarding Yachtvara.
If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. Headings are for convenience only.
